Terms & Conditions

These terms govern your use of CORTANA LOGISTICS LIMITED's website and the logistics services we provide. Please read them carefully before engaging our services.

Last updated: January 2025. These terms apply to all clients, prospects, and website visitors.

1. Service Scope & Liability

1.1 Scope of Services

1.3 Liability Limits

CORTANA LOGISTICS LIMITED provides freight forwarding, cargo delivery, international shipping, warehousing, and supply chain coordination. Services are delivered under individual written agreements specifying routes, volumes, timelines, and applicable rates.

CORTANA's liability for loss or damage to cargo is limited to the lesser of the actual documented value of the goods or the limit specified in the applicable international freight convention (CMR, Hague-Visby Rules, or Montreal Convention, as relevant).

Any service not explicitly documented in your agreement falls outside the contracted scope. Requests for additional services must be confirmed in writing before execution.

CORTANA is not liable for delays caused by customs holds, force majeure events, port congestion, regulatory inspections, or any circumstances outside its operational control. These exclusions are documented at booking.

1.2 Service Modifications

1.4 Dispute Resolution

CORTANA reserves the right to modify routing, carriers, or transit methods where operational conditions require it, provided such changes do not materially alter agreed delivery timelines or costs without client notification.

Any dispute arising from service delivery must be raised in writing within 14 days of the documented delivery date. CORTANA will acknowledge receipt within 5 business days and provide a written response within 21 business days.

Clients will be notified of significant route or carrier changes at the earliest operationally practicable moment. Notification does not require client approval unless the change affects agreed commercial terms.

Where resolution cannot be reached bilaterally, disputes are referred to binding arbitration under the rules of the London Court of International Arbitration (LCIA), with proceedings conducted in English.

2. Payment Terms & Cargo Conditions

2.1 Payment Schedule

2.3 Cargo Liability Coverage

Invoices are issued upon shipment booking confirmation and are payable within 30 days of invoice date unless an alternative schedule is agreed in writing. Overdue balances accrue interest at 4% above the Bank of England base rate per annum.

Standard liability coverage is included within agreed service rates up to the convention limits stated in clause 1.3. Clients requiring coverage above convention limits must arrange cargo insurance independently or request enhanced coverage in writing at booking.

CORTANA reserves the right to withhold cargo documentation or delay release of goods until outstanding invoices are settled in full. This right applies regardless of shipment transit status.

CORTANA does not accept liability for goods prohibited under applicable import or export regulations, improperly declared cargo, or shipments where client-provided documentation is materially inaccurate.

2.2 Surcharges & Additional Costs

2.4 Cargo Documentation

Port surcharges, fuel adjustments, customs examination fees, storage demurrage, and regulatory compliance costs arising during transit are the client's responsibility unless explicitly included in the agreed rate schedule.

Clients are responsible for providing accurate commercial invoices, packing lists, certificates of origin, and any export or import permits required by destination jurisdictions. CORTANA will flag documentation gaps before departure but is not liable for delays caused by incomplete client-supplied paperwork.

CORTANA will notify clients of unanticipated surcharges as soon as they are known. Such costs will be invoiced separately with supporting carrier or port documentation attached.

All shipping documents are retained by CORTANA for a minimum of seven years from the shipment date and are available to clients upon written request within that period.
